Welcome to Vidiosa, a provider of professional video production and animation services. By accessing or using our website and services, you (“Client,” “you,” or “your”) agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree with any of the terms, please refrain from using our services.

These Terms govern all contracts, transactions, and interactions between Vidiosa and its clients. Please read them carefully.
2. Services Provided
Vidiosa specializes in offering video production services, including but not limited to:
  • Animated explainer videos
  • Demo videos
  • Video editing services
  • On-demand video production (monthly retainer packages)
We tailor our services based on the project scope and client needs as detailed in a formal contract, proposal, or statement of work.
3. Client Obligations
Clients are responsible for providing clear instructions and accurate information regarding their project requirements. This includes providing all necessary assets, such as logos, branding guidelines, script content, or any specific visual elements required for the project.

By engaging Vidiosa, you agree to:
  • Collaborate promptly by reviewing drafts, scripts, and videos to ensure smooth project progress.
  • Provide timely feedback within the deadlines specified in the project timeline.
  • Video editing services
  • Ensure that you have the rights to any assets (e.g., music, voiceover scripts) that you provide to us for inclusion in your project.
Failure to provide timely feedback or the required assets may result in delays, for which Vidiosa will not be held liable.
4. Pricing and Payments
At Vidiosa, we offer two distinct methods for ordering and paying for our services. Clients can either place direct orders through our website for pre-defined packages, or they can engage with us via a discovery call, after which we provide a custom proposal and contract. Below are the payment terms for both methods.
By engaging Vidiosa, you agree to:

4.1. Direct Orders Through the Website

Clients can choose from a variety of pre-defined packages on our website (e.g., explainer videos, demo videos, on-demand video packages). The prices for these packages are clearly listed, and payment is made directly through our secure payment gateway.
  • Full Payment: When placing an order directly through our website, full payment is required upfront. Once the payment is received, we will begin working on your project. Payment can be made using any of the accepted payment methods listed on our site, including credit/debit cards and digital payment platforms.
  • Taxes and Fees: Any applicable taxes or transaction fees will be outlined at the point of purchase and are the responsibility of the client.

4.2. Custom Orders Through Discovery Call and Proposal

For custom video projects, Vidiosa follows a personalized approach that begins with a discovery call to understand your specific needs. After the discovery call, we will provide a detailed proposal and contract outlining the project scope, pricing, and timeline.
  • 50% Advance Payment: Upon accepting the proposal and signing the contract, the client is required to pay 50% of the total project cost before work can begin. This serves as a deposit to cover initial production costs.
  • 50% Final Payment: The remaining 50% is due prior to the delivery of the final video. Once the video has been approved and finalized by the client, we will send an invoice for the remaining balance. The final deliverables will be provided after the balance is cleared.

4.3. Invoicing and Payment Methods
  • Invoices: Invoices for custom orders will be issued for both the initial deposit and the final payment. All invoices must be paid within the specified timeframe indicated on the invoice (typically 7-14 days).
  • Accepted Payment Methods: We accept payment via credit card, bank transfer, or through our secure online payment platform. For any other payment arrangements, please contact our team directly.

4.4. Late Payments
  • Payments not received within the agreed timeframe will incur a 5% late fee for every week the payment is overdue.
  • Vidiosa reserves the right to pause ongoing work or withhold final deliverables until all outstanding payments are received.

4.5. Refund Policy
  • Direct Orders: Refunds for direct orders made through the website will only be provided if the project has not yet begun. Once production has started, no refunds will be issued.
  • Custom Orders: For custom projects, refunds will be handled on a case-by-case basis. If the client cancels the project before production starts, the advance payment may be refunded minus a 10% administrative fee. If the project is canceled after work has started, the client will be responsible for paying for the work completed up until the cancellation.
5. Revisions and Approvals
5.1. Revision Policy

Vidiosa provides unlimited revisions for each project phase, as long as the requested revisions remain within the original scope of the project. Revisions should be communicated promptly in writing. Excessive or unreasonable requests, especially those outside the initial project scope, may incur additional charges.

5.2. Final Approval

Once the final version of the video is delivered and approved by the Client, further revisions will incur additional costs. The project will be considered complete, and no further edits will be made unless agreed upon in a new contract.
6. Intellectual Property Rights
6.1. Ownership of Deliverables

Upon full payment of the project fees, Vidiosa grants the Client full rights to the final video deliverables. This includes the right to use, modify, and distribute the video for commercial or non-commercial purposes.

6.2. Rights to Raw Files

Vidiosa retains the rights to all raw project files (e.g., animation source files, unedited footage). These raw materials are not included in the final deliverables unless specifically agreed upon in the initial contract. Clients may request access to these files for an additional fee.

6.3. Third-Party Assets

If any third-party assets (e.g., music, stock footage, voiceover) are used in the video production, Vidiosa will ensure that the appropriate licenses are obtained. The Client must respect these licenses and the terms under which they are granted. Vidiosa will not be held liable for any misuse of third-party assets by the Client.
7. Confidentiality
Vidiosa understands the importance of maintaining confidentiality for both parties. All confidential information shared during the course of a project (including but not limited to project details, business strategies, and proprietary information) will be kept secure and will not be disclosed to third parties without explicit consent from the other party.
8. Cancellations and Refunds
8.1. Project Cancellations

The Client may cancel a project at any time by providing written notice. However, the following cancellation fees apply:
  • If the project is canceled before the start of production, the Client will receive a full refund of any amounts paid, minus a 10% administrative fee.
  • Video editing If the project is canceled after production has started, the Client will be responsible for paying for the work completed up to the point of cancellation. The remaining balance of the project fee will be refunded.

8.2. Retainer Cancellation

Retainer agreements are billed monthly and may be canceled with 30 days' written notice. If the Client cancels the retainer before the end of the billing cycle, the services will continue until the end of that period.We tailor our services based on the project scope and client needs as detailed in a formal contract, proposal, or statement of work.

8.3. Refund Policy

Vidiosa offers refunds only for services that have not been completed or delivered. Once a final version of the video is delivered and approved by the Client, no refunds will be issued.
9. Limitations of Liability
Vidiosa’s liability for any claims arising out of this agreement, whether in contract, tort, or negligence, shall be limited to the total fees paid by the Client for the services. We shall not be liable for:
  • Any indirect, incidental, or consequential damages resulting from the use or inability to use our services.
  • Delays caused by factors beyond our control, such as natural disasters, third-party service failures, or unforeseen technical issues.
10. Dispute Resolution
In the event of a dispute arising out of or relating to this agreement, both parties agree to first attempt to resolve the dispute through good faith negotiations.
11. Termination of Services
Vidiosa reserves the right to terminate its services and agreement with a Client under the following conditions:
  • Failure by the Client to provide necessary project materials or feedback within the agreed timeframe.
  • Non-payment of fees.
  • Misuse or unethical use of the final video deliverables.

In such cases, Vidiosa may suspend or cancel ongoing projects without further liability or obligations.
12. Amendments and Modifications
Vidiosa reserves the right to modify or amend these Terms at any time. Any updates to the Terms will be posted on our website, and continued use of our services following such changes constitutes acceptance of the revised Terms. Clients will be notified of any significant changes to these Terms.
